OC&C advises Bencis on sale of Elbfrost to NPM Capital

We are very pleased to announce our recent vendor commercial due diligence (VCDD) support for Bencis in the sale of Elbfrost Group to NPM Capital. The transaction, signed in June 2025, is expected to complete in Q3 2025, subject to regulatory approvals.

Founded in 1990 and headquartered in Marl, Germany, Elbfrost is a leading food distributor and logistics provider specialising in frozen and dry products for institutional catering. The company operates four strategically located distribution centres across Western and Eastern Germany, serving a diverse customer base from schools and hospitals to corporate canteens.

Under Bencis’ ownership since 2022, Elbfrost’s in-house logistics capabilities and commitment to quality has solidified its position as a trusted partner in the German foodservice sector. NPM Capital will support Elbfrost in its next phase of development, focused on international development whilst continuing to expand their market position across Germany.
