OC&C advises Inflexion on the sale of a majority stake in Celnor to Goldman Sachs Alternatives
We are delighted to congratulate Inflexion on its agreement to sell a majority stake in Celnor Group to Goldman Sachs Alternatives. OC&C provided vendor commercial due diligence to support the transaction.
Founded in 2023, Celnor is a fast-growing international provider of testing, inspection, certification and compliance (TICC) services, helping businesses navigate increasingly complex regulatory, safety and environmental requirements across the built environment. The Group has rapidly scaled to serve over 20,000 clients, employing more than 2,750 people across 60 locations and generating annual revenues exceeding £300 million.
Under Inflexion’s ownership, Celnor has pursued a successful buy-and-build strategy, establishing a strong presence in the UK before expanding internationally into the US and Europe. Through strategic acquisitions and investment in its people, technology and operational capabilities, the business has developed a leading position in the fragmented TICC market.
The investment from Goldman Sachs Alternatives will support Celnor’s next phase of growth, accelerating its international expansion, particularly in the US and Continental Europe, while strengthening its capabilities and supporting further acquisitions. Inflexion will retain a minority stake in the business alongside Celnor’s founder and management team.
