OC&C advises OCU Group and Triton Partners on sale to TDR Capital

OCU Group is set to enter its next phase of growth following an agreement by Triton Partners to sell the business to funds managed by TDR Capital.

OC&C provided vendor commercial due diligence to OCU and Triton in support of the transaction.

OCU is a leading energy transformation and utilities infrastructure platform, supporting the development, delivery and maintenance of critical assets. The Group operates across power transmission and distribution, renewable generation and energy storage, water and environmental services, and digital infrastructure. Its integrated offering spans the full asset lifecycle, from design and engineering through to construction, commissioning and maintenance.

Since Triton’s investment in 2022, OCU has transformed from a regional UK utilities services provider into a scaled critical infrastructure platform with a growing international presence. Revenue has more than quadrupled from £295 million in the year to April 2022 to £1.2 billion in the financial year to April 2026, while its order book has grown to more than £4 billion.

Over the same period, OCU has broadened its capabilities through organic investment and several acquisitions, developing specialist expertise across areas including high-voltage electrical engineering, horizontal directional drilling, electrical design and specialist civil engineering. The Group has also expanded internationally into Australia and New Zealand, supported by engineering capabilities in India.

The investment from TDR will support OCU’s next phase of development as it looks to build on its scaled platform, broaden its international presence and capture further opportunities across critical infrastructure. Ongoing investment in the modernisation of infrastructure and changing dynamics across the power industry provide an attractive backdrop for the continued development of the business.
